Terms and Conditions for Mortgage Protection +™: 1. Acceptance of Terms by accessing and using the Mortgage Protection + (“MP+”), you agree to abide by these Terms and Conditions. If you do not agree with any part of these terms, do not enter the software and you are not permitted to use the MP+. 2. License and Ownership MP+ is the proprietary property of SMART Retirement Corporation and/or Centurion Private Capital, LLC is protected by intellectual property laws. SMART Retirement Corporation and/or Centurion Private Capital, LLC grants you a non-exclusive, non-transferable license to use the MP+ for personal or business purposes in accordance with these Terms and Conditions. Your license may not be shared by multiple advisors; it is exclusively for your single use only. User agrees that any attempt to reverse engineer or copy MP+ in any way the results become the property of SMART Retirement Corp. and/or Centurion Private Capital, LLC 3. Accuracy and Limitations MP+ the accuracy of the insurance carrier rates and interest rate computations on mortgage balances are based on best effort and SMART Retirement Corporation and/or Centurion Private Capital, LLC are not responsible for technical errors. 4. User Responsibilities: Users are solely responsible for the accuracy and completeness of the data entered into MP+. SMART Retirement Corp and/or Centurion Private Capital, LLC are not responsible for any errors or discrepancies in the input data or the results obtained from errored data. In addition, carrier rates should be verified by the user and no assumption should be made to their accuracy without user verification. 5. Privacy: SMART Retirement Corporation and/or Centurion Private Capital, LLC may collect and store information entered into the MP+ for the purpose of improving the service and for analytical purposes. Personal information will be handled in accordance with SMART Retirement Corp's Privacy Policy. 6. Modifications and Updates SMART Retirement Corporation and/or Centurion Private Capital, LLC reserve the right to modify or update MP+, including these Terms and Conditions, at any time without prior notice. Users are responsible for reviewing the Terms and Conditions regularly. 7. The Insurance carrier used may change without notice. It is the users responsibility to be properly licensed with the carrier used to ensure the accuracy of the MP+ output and the actual term insurance selected. 8. Termination of Access: SMART Retirement Corp and/or Centurion Private Capital, LLC reserves the right to terminate or restrict access to MP+ at its discretion, without prior notice, for any violation of these Terms and Conditions or for any other reason.

Limitation of Liability To the extent permitted by law, SMART Retirement Corp and/or Centurion Private Capital, LLC shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of MP+ or these Terms and Conditions. Governing Law These Terms and Conditions shall be governed by and construed in accordance with the laws of West Virginia. Any disputes arising out of or in connection with these terms shall be resolved through arbitration in accordance with the rules of the AAA Arbitration, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. By using MP+, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

Additional Non-Disclosure Agreement concerning affiliated agencies: A) The user agrees and understands that any information, systems, software and other electronic and non-electronic applications shared by SMART Retirement Corp and/or Centurion Private Capital, LLC or related entities will remain confidential and be acknowledged as the Intellectual Property of SMART Retirement Corp and/or Centurion Private Capital, LLC by the individual agreeing to this Non-Disclosure Agreement provision. Furthermore, the user agrees and understands that the information is valuable and further agrees not to disseminate said information in any way without express permission of SMART Retirement Corp and/or Centurion Private Capital, LLC. B) The undersigned agrees that and understands that the information specific to affiliated agencies may include but is not limited to carrier compensation levels, renewals schedules, and any other proprietary information and intellectual property, as expressed above, that may be shared by SMART Retirement and/or Centurion Private Capital, LLC and its affiliated agencies. 1. Equitable Relief. The Undersigned hereby acknowledges and agrees that a violation of this Agreement would cause irreparable and substantial damage and harm to SMART Retirement Corp and/or Centurion Private Capital, LLC and could constitute a failure of consideration, and that money damages alone would be inadequate to compensate SMART Retirement Corp and/or Centurion Private Capital, LLC and would not be an adequate remedy for such violation(s). Accordingly, The user hereby agrees that, in the event of any breach or threatened breach of this Agreement, SMART Retirement Corp and/or Centurion Private Capital, LLC shall be entitled to obtain from any court of competent jurisdiction (in any jurisdiction) preliminary and permanent injunctive or other equitable relief to restrain any breach or threatened breach or otherwise to specifically enforce the provisions of this Agreement, without the necessity of showing actual damages or furnishing a bond or other security, and in the case of a temporary restraining order, such relief may be granted ex parte and without the necessity of a full hearing on the evidence. 2. Attorneys’ Fees. Should it become necessary to enforce any provision of this Agreement in a court of law or equity, the prevailing party in any such action shall be entitled to recover its costs related thereto, including its reasonable attorneys’ fees incurred in connection therewith. 3. Agreed to Damages Clause: The undersigned agrees to $18,000 per occurrence financial damages to SMART Retirement Corp and/or Centurion Private Capital, LLC , with no cap in damages, where the How To Create a Dream Business Protecting The American Dream of Home Ownership guide is distributed to any agent or advisor not subscribed to the Mortgage Protection + application available at www.smartadvisortools.com. 4. Miscellaneous Provision: (a) Amendment: Waivers. This Agreement can be amended or terminated only by a written agreement signed by both parties. No failure to exercise or delay in exercising any right under this Agreement shall operate as a waiver thereof. (b) The parties agree that execution and delivery of this Agreement by electronic transmission shall constitute good and valid execution and delivery.
